FundTrak Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of FundTrak's website, mobile applications, and related services (collectively, the "Service"), operated by FundTrak ("FundTrak," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are agreeing on behalf of a school or organization ("School"), you represent that you have the authority to bind that School to these Terms.

If you do not agree to these Terms, do not use the Service.

1. The Service

FundTrak provides a school finance and operations management platform, including but not limited to:

  • Fee collection and dedicated school bank accounts
  • Automated, AI-assisted payment matching against student accounts
  • Payroll processing, salary advances, and staff disbursements
  • Attendance and gate access management via NFC cards/tags
  • SMS, email, and WhatsApp notifications to guardians and staff
  • Reporting, analytics, and an AI assistant for finance-related queries

We may add, modify, or remove features at any time, and may update these Terms accordingly.

2. Eligibility and Accounts

  • The Service is intended for use by schools, their authorized staff and administrators, and guardians of enrolled students. It is not intended for direct use by children.
  • Schools are responsible for ensuring that any staff member or administrator they authorize to use the Service is appropriately vetted and permitted to handle student, guardian, and financial data.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.
  • You agree to provide accurate, current, and complete information when creating an account and to keep that information up to date.

3. School Responsibilities

As the primary customer and data controller for student and guardian information, the School agrees to:

  • Have a lawful basis (including any necessary parental/guardian consent) for submitting student and guardian data to FundTrak
  • Ensure the accuracy of fee structures, student records, staff records, and payroll data entered into the Service
  • Promptly review and approve or reject AI-assisted payment-matching suggestions where human confirmation is required
  • Comply with all applicable laws, including data protection and financial regulations, in its use of the Service

4. Payments, Fees, and Disbursements

  • FundTrak may facilitate the collection of school fees into dedicated bank accounts issued through our banking partners, and may facilitate payroll disbursements to staff.
  • Transaction fees, subscription fees, or other charges for use of the Service will be disclosed to the School at the time of subscription or as otherwise communicated.
  • Payment matching (including AI-assisted matching) is provided as a convenience and accuracy aid. The School remains responsible for reviewing and confirming financial records, and FundTrak is not liable for losses arising from unreviewed or incorrectly approved matches.
  • Disbursements (including salary advances and payroll payments) are processed based on instructions and approvals provided by the School's authorized administrators. FundTrak is not responsible for disbursement instructions that are inaccurate, fraudulent, or unauthorized due to a failure of the School's internal access controls.
  • All amounts are handled in accordance with applicable Nigerian banking and financial regulations.

5. Attendance and Gate Access

  • NFC-based attendance and gate access features rely on hardware, network connectivity, and correct card/tag assignment managed by the School.
  • FundTrak is not responsible for attendance or access records that are inaccurate due to device malfunction, connectivity loss, lost or shared NFC cards, or incorrect configuration by the School.
  • Offline scans are stored locally on gate devices and synced when connectivity is restored; delays in syncing may temporarily affect the accuracy of live dashboards.

6. Notifications

  • FundTrak sends SMS, email, and WhatsApp notifications to guardians and staff on behalf of the School (e.g., payment receipts, fee reminders, attendance alerts, payslips).
  • Delivery of these notifications depends on third-party telecom and messaging providers and is not guaranteed. FundTrak is not liable for failed, delayed, or misdirected messages caused by incorrect contact information supplied by the School or by third-party service outages.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms
  • Attempt to gain unauthorized access to any part of the Service, other Schools' data, or underlying systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload false, misleading, or fraudulent student, staff, or financial data
  • Use the Service to harass, defraud, or harm guardians, students, or staff
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law

We reserve the right to suspend or terminate accounts that violate these Terms.

8. Intellectual Property

The Service, including its software, design, branding, and content (excluding data you or your School submit), is owned by FundTrak or its licensors and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. No other rights are granted.

9. Data and Privacy

Use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect personal information. By using the Service, you acknowledge and agree to the practices described there.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

FundTrak is a financial and operational management tool. It does not replace the School's own record-keeping, financial controls, or regulatory compliance obligations.

11. Limitation of Liability

To the maximum extent permitted by law, FundTrak and its officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount paid by the School to FundTrak in the twelve (12) months preceding the claim.

Nothing in these Terms limits liability that cannot be excluded or limited under applicable law.

12. Indemnification

You agree to indemnify and hold harmless FundTrak and its officers, employees, and partners from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Service, or violation of any law or third-party right.

13. Termination

  • Either party may terminate an account or subscription in accordance with the applicable service agreement or subscription terms.
  • We may suspend or terminate access to the Service immediately if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or posed a risk to other users or the Service.
  • Upon termination, the School's right to use the Service ends, though certain provisions of these Terms (including Sections 8, 11, and 12) will survive termination.

14. Changes to the Service and Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by other reasonable means. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Nigeria, unless otherwise required by applicable law.
